A Private Limited (Pvt Ltd) company is necessary only when you are taking outside investment, have multiple non-family partners, or operate in high-liability manufacturing. Incorporating a Pvt Ltd costs between 35,000 and 60,000 LKR and requires an appointed company secretary.

Step-by-step: registering a Sole Proprietorship

1. Check your name: Ensure your chosen business name is not already registered in your district. Visit the Business Names branch at your local Divisional Secretariat (Pradeshiya Sabha / DS Office).

2. Grama Niladhari report: Obtain a residency and business location verification report from your local Grama Niladhari officer.

3. Submit application: Hand in Form A along with your National Identity Card (NIC) copy and deed or rent agreement for the operating address. The registration fee is typically between 1,500 and 2,500 LKR.

4. Receive your BR certificate: In most districts, your official Business Registration Certificate is issued within three to seven working days.

With your certificate in hand, you can immediately open a dedicated business current account at any commercial bank in Sri Lanka.
